Last updated: May 2025By engaging our services or using our website, you agree to these Terms of Service. Please read them carefully. These terms are governed by the laws of the Republic of Cyprus.
1. About Us
BitNova IT Tech Solutions ("BitNova", "we", "us") is an IT services company operating in Cyprus, providing managed IT support, cybersecurity, cloud services and related solutions to businesses.

2. Services
BitNova provides the following categories of IT services:
- Managed IT Support & Helpdesk
- Cybersecurity Solutions & NIS2 Compliance
- IT Infrastructure Setup & Maintenance
- Cloud Services & Backup (Microsoft 365, Azure)
- Network & VoIP Solutions
- CRM / ERP Open Source (Odoo, SuiteCRM)
- LegalGuard — Specialised IT for Law Firms
- AccountGuard — Specialised IT for Accounting Firms
The specific services, scope, deliverables, and pricing for each engagement are defined in a written Service Agreement or Proposal provided to the client prior to commencement.
3. Engagement & Service Agreements
All services are provided under a written Service Agreement or signed Proposal. No service obligations exist until a written agreement is in place and the relevant setup fee (where applicable) has been received.
By accepting a Proposal or Service Agreement, you confirm that you have authority to bind your organisation to these terms.
4. Pricing & Payment
Monthly Subscriptions
- Monthly fees are billed in advance at the start of each billing period
- A minimum commitment of 3 months applies to all subscription plans
- All prices are quoted excluding VAT unless stated otherwise
- VAT is charged at the applicable Cyprus rate
One-time Fees
- Setup fees are charged once, in the first invoice
- Ad-hoc work outside the agreed scope is charged at our standard hourly rate
Late Payment
- Invoices are due within 14 days of issue
- Late payments may incur interest at the statutory rate under Cyprus law
- Services may be suspended after 30 days of non-payment with prior notice
5. Cancellation & Termination
- After the minimum 3-month period, either party may cancel with 30 days written notice
- Cancellation must be submitted in writing to info@bitnovait.eu
- No refunds are issued for the current billing period upon cancellation
- BitNova reserves the right to terminate services immediately in cases of non-payment, breach of these terms, or conduct that poses a security risk
6. Client Responsibilities
To enable effective service delivery, clients are responsible for:
- Providing accurate information and timely access to systems as required
- Ensuring authorised personnel are available to assist during on-site visits
- Notifying BitNova promptly of any security incidents, changes to infrastructure, or relevant personnel changes
- Complying with all applicable laws, including data protection regulations (GDPR)
- Not using our services for any unlawful purpose
7. Intellectual Property
All tools, scripts, documentation, and methodologies developed by BitNova remain the intellectual property of BitNova IT Tech Solutions, unless explicitly transferred to the client in writing.
Client data remains the property of the client at all times.
8. Confidentiality
BitNova treats all client information as strictly confidential. We do not disclose client data, system details, or business information to third parties except as required by law or as necessary to deliver the agreed services (e.g. cloud providers under data processing agreements).
Clients agree to keep confidential any proprietary tools, pricing, or methodologies disclosed by BitNova during the engagement.
9. Limitation of Liability
BitNova's total liability for any claim arising from our services shall not exceed the total fees paid by the client in the 3 months prior to the incident giving rise to the claim.
BitNova is not liable for:
- Indirect, consequential, or incidental damages
- Loss of data caused by client-side actions or pre-existing conditions
- Service disruptions caused by third-party providers (e.g. Microsoft, internet providers)
- Security incidents resulting from client failure to follow recommended security practices
- Force majeure events beyond our reasonable control
10. Data Protection
BitNova processes personal data in accordance with our Privacy Policy and applicable GDPR obligations. Where BitNova processes personal data on behalf of a client, a Data Processing Agreement (DPA) will be provided as part of the Service Agreement.
11. Service Level & Support
Response times and support hours are defined in each Service Agreement and vary by plan:
- Starter: 24-hour response during business hours
- Professional: 4-hour response during business hours
- Enterprise: 2-hour response, extended coverage
Response times are targets, not guarantees, and apply to issues reported through the agreed support channel during business hours (Mon–Fri 09:00–18:00 Cyprus time).
12. Governing Law & Disputes
These Terms of Service are governed by and construed in accordance with the laws of the Republic of Cyprus. Any disputes arising shall be subject to the exclusive jurisdiction of the courts of Cyprus.
We encourage resolving disputes amicably first. Please contact us at info@bitnovait.eu before initiating legal proceedings.
13. Changes to These Terms
We may update these Terms of Service from time to time. Existing clients will be notified of material changes with at least 30 days notice. Continued use of our services after that period constitutes acceptance of the updated terms.
